This End User License Agreement ("EULA") governs your installation and use of Pixosight desktop software ("Software") published by VCNet LLC ("VCNet," "we," "us," or "our"). By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
This EULA applies to all Pixosight license types, including trial, perpetual, and subscription licenses. It is incorporated by reference into VCNet's Terms of Service and is read alongside the Privacy Policy, which also apply to your use of VCNet products. This EULA is published at pixosight.com/eula/ and is a legal agreement between you and VCNet LLC, the publisher of Pixosight.
1. License Grant
Upon obtaining a valid license, VCNet grants you a limited, non-exclusive, non-transferable license to install and use the Software strictly in accordance with this EULA and the license type you have purchased or been granted.
Licenses are held by the account entity registered in the VCNet portal — an organization — rather than by individual Windows users. Online customers use the Pixosight portal to obtain a trial or paid license and find the signed installer. Offline activation is arranged with VCNet. One license seat permits one activated PC at a time. Multiple Windows users on the same machine share a single activation through machine-wide license storage, so a shared bench PC does not consume a seat per person. Organizations holding multiple seats manage all activations under a single portal account.
Perpetual Licenses
A perpetual license grants access to the major version of the Software current at the time of purchase, plus minor updates (bug fixes and patches) within that major version. Perpetual licenses do not include future major version upgrades. Upgrade paths may be available by inquiry at info@vcnet.us.
A perpetual license still requires a license key issued by VCNet and an initial activation, or a signed offline activation package issued by VCNet. Where a perpetual license record carries an end date, that date governs eligibility for support and updates; it does not by itself end your right to keep running the version your license covers.
Subscription Licenses
A subscription license grants access to the Software and all updates — including new features and future major versions — for the duration of an active, paid subscription. When a subscription ends or lapses, access to the Software ends and the Software will stop opening. Your locally stored project files, calibration profiles, and exported outputs are not affected by license status.
Trial Licenses
A trial license grants time-limited or capacity-limited access to the Software for evaluation purposes under the terms of this EULA. Commercial production use of trial or evaluation software without a paid license is prohibited. VCNet may modify or end trial terms at any time. Trial terms, pricing, billing, and refunds are governed by the Terms of Service.
2. Restrictions
You may not:
- Distribute, sublicense, sell, rent, lease, loan, or transfer the Software, any installer package obtained from the VCNet portal, any license key, or any offline activation package to any third party not covered by your license
- Copy, modify, adapt, translate, or create derivative works based on the Software
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where expressly permitted by applicable law that cannot be waived by contract
- Bypass, disable, circumvent, or interfere with license activation, validation, offline leases, access controls, or any security features of the Software
- Use the Software on more simultaneous activated machines than your license permits
- Use the Software in violation of any applicable law or regulation
- Remove, alter, or obscure any proprietary notices, labels, or markings on or within the Software
3. Activation, Validation, and Offline Use
Activation and periodic validation
Pixosight requires a license key issued through the VCNet portal. The Software contacts VCNet servers to activate and to periodically confirm that the license remains valid. Data transmitted for this purpose is limited to a machine identifier derived from hardware characteristics, a license key or license identifier, an activation token issued at activation, the Software version, and a timestamp. This information is used for license enforcement, license support, and abuse prevention — it is not used for advertising and is not sold to third parties.
Offline use
Successful activation and validation issue a signed, machine-bound offline lease. If VCNet servers are temporarily unreachable, the Software continues to run against that lease for a limited period. When the lease expires and the license cannot be revalidated, the Software stops opening until validation succeeds again. Lease durations and validation intervals are set by VCNet and may change.
Offline and restricted-network activation
For air-gapped or tightly restricted environments, VCNet can issue a signed offline activation package by arrangement. Contact info@vcnet.us. Offline activation packages are valid for a limited period, are issued for a specific license, and are subject to the same restrictions as any other license material under Section 2.
Deactivation, transfer, and revocation
Licenses are machine-tied but transferable. Deactivating a device — from the Software on that machine, or from the VCNet portal by an organization owner or administrator — frees its activation for reuse. Transfers to a new machine and reactivations following a hardware change are handled by contacting info@vcnet.us rather than through self-service. Resetting a license key from the portal rotates the key and ends all current activations, which must then be activated again with the new key.
Transfers are supported on a reasonable-use basis. VCNet reserves the right to limit or deny transfers, and to revoke activations, in cases of suspected abuse. Where an apparent activation overage occurs on a perpetual license, VCNet may address it by contacting you rather than by blocking the Software, but reserves the right to enforce activation limits.
Your work stays on your machine
The Software is designed to run locally. It does not transmit your measurement data, images, calibration profiles, or project files to VCNet during normal operation or during license validation. The limited exceptions are the diagnostics and support submissions described in Section 4. For complete details, see the Privacy Policy at vcnet.us/privacy/.
4. Diagnostics, Error Reports, and In-App Support
Error reports
When the Software encounters an error on a licensed machine, it may send a diagnostic report to VCNet. Such a report may include the error code, exception type and message, stack trace, Software version, operating system name and version, machine name, machine identifier, and limited technical metadata. Reports are filtered to exclude screenshots, image files, measurement data, project files, file names and paths, license keys, and activation tokens. Error reporting is best-effort and is used to diagnose faults, support your license, and improve the Software.
In-app support submissions
The Software includes Report a Bug and Request a Feature. What is sent is the title and description you write, the submission type and priority, and — only if you leave the diagnostics checkbox selected — the Software version and your operating system name and version. No images, measurement data, project files, or file paths are attached. Because the description is free text, do not include confidential or personal information you do not want stored on VCNet systems.
Submissions are stored on VCNet infrastructure, may be reviewed by VCNet personnel to respond to you, and may be recorded in VCNet's internal engineering systems for tracking. Feature requests and suggestions you submit are also Feedback under Section 7.
5. Updates
VCNet may release updates, patches, or new versions of the Software from time to time.
Subscription license holders receive access to updates, including new features and major versions, as they are released during the active subscription period.
Perpetual license holders receive minor updates within the purchased major version. Major version upgrades are not included in a perpetual license and may be available for separate purchase.
The Software does not update itself silently. It may notify you that an update your license is eligible for is available; installing it is an action you take, through Windows App Installer or the authenticated VCNet portal. You may continue using your current version unless an update is required for security, license validation, compatibility, or legal reasons.
System Requirements
The Software requires a compatible Windows environment. Minimum system requirements, supported OS versions, and recommended hardware configurations are published at pixosight.com and may be updated from time to time. VCNet does not warrant that the Software will function on hardware or operating system versions outside of the published requirements.
6. Intellectual Property
All right, title, and interest in and to the Software — including all source code, object code, algorithms, interfaces, graphics, documentation, and associated materials — are and remain the exclusive property of VCNet LLC and its licensors, protected by copyright, trade secret, and other intellectual property laws.
This EULA grants you only the limited license rights expressly stated herein. Nothing in this EULA transfers ownership of any intellectual property rights to you.
Third-Party Components
The Software includes or requires components licensed from third parties, including Microsoft Windows App SDK, WinUI 3, Win2D, and Windows App Installer and MSIX packaging components. Those components are licensed under their own terms, which accompany the Software's third-party notices. To the extent a third-party license conflicts with this EULA with respect to that component, the third-party license controls for that component. VCNet makes no warranty on behalf of any third-party licensor.
7. Feedback
If you submit bug reports, feature requests, suggestions, ideas, or other feedback regarding the Software — through the Software's in-app support tools, the VCNet portal support ticket system, by email, or through any other channel ("Feedback") — you grant VCNet LLC a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, incorporate, and otherwise exploit that Feedback for any purpose, including improving the Software and developing new products, without any obligation of compensation, attribution, or confidentiality to you. You represent that any Feedback you submit is your own and that you have the right to grant this license.
8. Your Content and Connected Hardware
Images you capture or import, calibration profiles, project files, annotations, watermark images you supply, and exported outputs are yours. VCNet claims no ownership of them and, as described in Section 3, does not receive them. You are responsible for saving, backing up, and protecting your own files.
You represent that you hold the rights necessary to use any image, watermark, logo, or other material you load into the Software, and that doing so does not infringe the rights of any third party.
The Software accesses capture devices that Windows exposes on your machine, at the point you open the capture screen and select a source. You are responsible for having authorization to use the cameras, microscopes, or other hardware you connect, and for complying with any terms that apply to the manufacturer drivers or software those devices require. VCNet does not certify specific hardware models and does not warrant that any particular device will work with the Software.
9. Measurement Outputs and Results
Pixosight is a tool intended to assist trained professionals in dimensional inspection and measurement workflows. Measurement results, calculations, and outputs produced by the Software depend on user-controlled inputs including calibration, camera configuration, lighting, and subject preparation.
A calibration profile records a scale. It does not record or verify the optical setup it was created for, and the Software does not prevent you from applying a profile to an image captured with different optics, magnification, or working distance. Selecting the correct profile for the setup in front of you is your responsibility.
You are responsible for reviewing and validating all outputs against your own standards before relying on them. VCNet makes no warranty that results will meet any particular accuracy, precision, or regulatory standard. Pixosight outputs should not be used as the sole source of truth for safety-critical, medical, legal, regulatory, or engineering-critical decisions.
10. Export Compliance
The Software is subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS). You agree to comply with all applicable export and re-export control laws. You may not use, export, re-export, or transfer the Software to any country, individual, organization, or entity in violation of U.S. export laws, including but not limited to:
- Countries subject to U.S. embargo or comprehensive sanctions
- Parties listed on the BIS Entity List, Denied Persons List, or Unverified List
- Parties listed on the U.S. Treasury Department's Specially Designated Nationals (SDN) list
- Any end-use prohibited under applicable export control regulations
You are responsible for determining whether your use or transfer of the Software requires an export license from BIS or another U.S. government agency, and for obtaining any such license before proceeding. VCNet makes no representation that the Software is appropriate or available for use outside the United States.
11. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, OR NON-INFRINGEMENT.
VCNet does not warrant that the Software will be error-free, uninterrupted, free of harmful components, or compatible with every hardware or software configuration, nor that license validation servers will be available without interruption. Use of the Software is at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNET LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF VCNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNET'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO VCNET FOR THE SOFTWARE LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM. FOR FREE TRIAL LICENSES, VCNET'S TOTAL LIABILITY SHALL NOT EXCEED $100.
13. Termination
This EULA is effective until terminated. VCNet may terminate your license immediately if you breach any term of this EULA, misuse a license key or offline activation package, attempt to bypass license restrictions, or use the Software in a way that creates legal, security, or operational risk to VCNet or others.
Upon termination, you must immediately stop using the Software and destroy all copies in your possession or control. Sections 2, 4, 6, 7, 8, 9, 10, 11, 12, 15, and 16 survive termination.
14. Governing Law
To the extent permitted by applicable law, this EULA is governed by and construed in accordance with the laws of the State of Maine and applicable United States federal law, without regard to conflict of law principles. To the extent permitted by applicable law, any disputes arising under this EULA shall be resolved in the appropriate state or federal courts located in Maine. Nothing in this section limits rights you may have under applicable consumer protection laws in your jurisdiction.
15. Assignment
You may not assign, transfer, or sublicense this EULA or any rights granted hereunder without VCNet's prior written consent, except that an organization licensee may assign this EULA in connection with a merger, acquisition, or sale of substantially all of its assets to an entity that assumes all obligations under this EULA, provided VCNet is notified in writing within 30 days. Any attempted assignment in violation of this section is void. VCNet may assign this EULA without restriction.
16. General
Entire agreement. This EULA, together with VCNet's Terms of Service (vcnet.us/tos/) and Privacy Policy (vcnet.us/privacy/), constitutes the entire agreement between you and VCNet regarding the Software.
Relationship to the Terms of Service. The Terms of Service govern your VCNet account, purchasing, subscriptions, billing, refunds, support, and acceptable use, and apply in full. This EULA governs installation and use of the Pixosight desktop software specifically. Where the two address the same subject and cannot be read together, this EULA controls as to the desktop software and the Terms of Service control as to everything else.
Severability. If any provision of this EULA is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No waiver. VCNet's failure to enforce any provision of this EULA does not constitute a waiver of its right to enforce that provision in the future.
Updates to this EULA. VCNet may update this EULA from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Software after an updated EULA is posted constitutes acceptance of the revised terms. If a change materially affects a paid license, it will apply going forward and will not retroactively remove rights already granted unless required by law or related to misuse.
