End User License Agreement
This End User License Agreement ("EULA") governs your installation and use of Pixosight desktop software ("Software") published by VCNet LLC ("VCNet," "we," "us," or "our"). By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.
This EULA applies to all Pixosight license types, including trial, perpetual, and subscription licenses. It is incorporated by reference into VCNet's Terms of Service and Privacy Policy, which also apply to your use of VCNet products. This EULA is published at pixosight.com/eula/ and is a legal agreement between you and VCNet LLC, the publisher of Pixosight.
1. License Grant
Upon obtaining a valid license, VCNet grants you a limited, non-exclusive, non-transferable license to install and use the Software strictly in accordance with this EULA and the license type you have purchased or been granted.
Licenses are issued to the account holder in the VCNet portal — either an individual or an organization. One license seat permits one activated PC at a time. Multiple Windows users on the same machine share one activation through machine-wide license storage. Organizations purchasing multiple seats may manage all activations under a single portal account.
Perpetual Licenses
A perpetual license grants access to the major version of the Software current at the time of purchase, plus minor updates (bug fixes and patches) within that major version. Perpetual licenses do not include future major version upgrades. Upgrade paths may be available by inquiry at info@vcnet.us.
Subscription Licenses
A subscription license grants access to the Software and all updates — including new features and future major versions — for the duration of an active, paid subscription. When a subscription ends or lapses, access to the Software ends. Your locally stored project files, calibration profiles, and exported outputs are not affected by license status.
Trial Licenses
A trial license grants time-limited or capacity-limited access to the Software for evaluation purposes under the terms of this EULA. Commercial production use of trial or evaluation software without a paid license is prohibited. VCNet may modify or end trial terms at any time.
2. Restrictions
You may not:
- Distribute, sublicense, sell, rent, lease, loan, or transfer the Software or any license key to any third party not covered by your license
- Copy, modify, adapt, translate, or create derivative works based on the Software
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where expressly permitted by applicable law that cannot be waived by contract
- Bypass, disable, circumvent, or interfere with license activation, validation, access controls, or any security features of the Software
- Use the Software on more simultaneous activated machines than your license permits
- Use the Software in violation of any applicable law or regulation
- Remove, alter, or obscure any proprietary notices, labels, or markings on or within the Software
3. Activation and License Validation
Pixosight requires activation through the VCNet portal. The Software contacts VCNet servers to activate and periodically confirm license validity. Data transmitted during this process is limited to a machine identifier derived from hardware characteristics, a license key or ID, and a timestamp. This information is used solely for license enforcement and support — it is not used for advertising or sold to third parties.
The Software is designed to run locally and does not transmit your measurement data, images, calibration profiles, or project files to VCNet during normal operation or during license validation. For complete details, see the Privacy Policy at vcnet.us/privacy/.
License transfers between machines are supported through the VCNet portal on a reasonable-use basis. VCNet reserves the right to limit or deny transfers in cases of suspected abuse.
4. Updates
VCNet may release updates, patches, or new versions of the Software from time to time.
Subscription license holders receive access to updates, including new features and major versions, as they are released during the active subscription period.
Perpetual license holders receive minor updates within the purchased major version. Major version upgrades are not included in a perpetual license and may be available for separate purchase.
If automatic updates are made available, they will be optional or clearly disclosed. You may continue using your current version unless an update is required for security, license validation, compatibility, or legal reasons.
System Requirements
The Software requires a compatible Windows environment. Minimum system requirements, supported OS versions, and recommended hardware configurations are published at pixosight.com and may be updated from time to time. VCNet does not warrant that the Software will function on hardware or operating system versions outside of the published requirements.
5. Intellectual Property
All right, title, and interest in and to the Software — including all source code, object code, algorithms, interfaces, graphics, documentation, and associated materials — are and remain the exclusive property of VCNet LLC and its licensors, protected by copyright, trade secret, and other intellectual property laws.
This EULA grants you only the limited license rights expressly stated herein. Nothing in this EULA transfers ownership of any intellectual property rights to you.
6. Feedback
If you submit bug reports, feature requests, suggestions, ideas, or other feedback regarding the Software through the VCNet portal, by email, or through any other channel ("Feedback"), you grant VCNet LLC a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, incorporate, and otherwise exploit that Feedback for any purpose, including improving the Software and developing new products, without any obligation of compensation, attribution, or confidentiality to you. You represent that any Feedback you submit is your own and that you have the right to grant this license.
7. Measurement Outputs and Results
Pixosight is a tool intended to assist trained professionals in dimensional inspection and measurement workflows. Measurement results, calculations, and outputs produced by the Software depend on user-controlled inputs including calibration, camera configuration, lighting, and subject preparation.
You are responsible for reviewing and validating all outputs against your own standards before relying on them. VCNet makes no warranty that results will meet any particular accuracy, precision, or regulatory standard. Pixosight outputs should not be used as the sole source of truth for safety-critical, medical, legal, regulatory, or engineering-critical decisions.
8. Export Compliance
The Software is subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the Bureau of Industry and Security (BIS). You agree to comply with all applicable export and re-export control laws. You may not use, export, re-export, or transfer the Software to any country, individual, organization, or entity in violation of U.S. export laws, including but not limited to:
- Countries subject to U.S. embargo or comprehensive sanctions
- Parties listed on the BIS Entity List, Denied Persons List, or Unverified List
- Parties listed on the U.S. Treasury Department's Specially Designated Nationals (SDN) list
- Any end-use prohibited under applicable export control regulations
You are responsible for determining whether your use or transfer of the Software requires an export license from BIS or another U.S. government agency, and for obtaining any such license before proceeding. VCNet makes no representation that the Software is appropriate or available for use outside the United States.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, OR NON-INFRINGEMENT.
VCNet does not warrant that the Software will be error-free, uninterrupted, free of harmful components, or compatible with every hardware or software configuration. Use of the Software is at your own risk.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNET LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF VCNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNET'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO VCNET FOR THE SOFTWARE LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM. FOR FREE TRIAL LICENSES, VCNET'S TOTAL LIABILITY SHALL NOT EXCEED $100.
11. Termination
This EULA is effective until terminated. VCNet may terminate your license immediately if you breach any term of this EULA, misuse a license key, attempt to bypass license restrictions, or use the Software in a way that creates legal, security, or operational risk to VCNet or others.
Upon termination, you must immediately stop using the Software and destroy all copies in your possession or control. Sections 2, 5, 6, 7, 8, 9, 10, 13, and 14 survive termination.
12. Governing Law
To the extent permitted by applicable law, this EULA is governed by and construed in accordance with the laws of the State of Maine and applicable United States federal law, without regard to conflict of law principles. To the extent permitted by applicable law, any disputes arising under this EULA shall be resolved in the appropriate state or federal courts located in Maine. Nothing in this section limits rights you may have under applicable consumer protection laws in your jurisdiction.
13. Assignment
You may not assign, transfer, or sublicense this EULA or any rights granted hereunder without VCNet's prior written consent, except that an organization licensee may assign this EULA in connection with a merger, acquisition, or sale of substantially all of its assets to an entity that assumes all obligations under this EULA, provided VCNet is notified in writing within 30 days. Any attempted assignment in violation of this section is void. VCNet may assign this EULA without restriction.
14. General
Entire agreement. This EULA, together with VCNet's Terms of Service (vcnet.us/tos/) and Privacy Policy (vcnet.us/privacy/), constitutes the entire agreement between you and VCNet regarding the Software.
Severability. If any provision of this EULA is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No waiver. VCNet's failure to enforce any provision of this EULA does not constitute a waiver of its right to enforce that provision in the future.
Updates to this EULA. VCNet may update this EULA from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Software after an updated EULA is posted constitutes acceptance of the revised terms. If a change materially affects a paid license, it will apply going forward and will not retroactively remove rights already granted unless required by law or related to misuse.
